The Challenge

A foreign bank operating in Indonesia needed to appoint an Independent Commissioner to its local board of directors. The appointment had a dual mandate.

First, regulatory compliance. OJK requires licensed banks to maintain a minimum proportion of independent commissioners on their boards. The candidate needed to pass OJK's fit and proper test without complications.

Second, genuine governance value. The Country CEO wanted an independent commissioner who would actively contribute to board-level risk oversight and strategic deliberation, not a passive seat-warmer who signed off on materials without engagement.

The bank's holding company had proposed two candidates from its global board advisory network. Both failed the OJK fit and proper review due to residency requirements and prior regulatory history in other jurisdictions. The timeline for the next board meeting was six weeks away.
